TERMS AND CONDITIONS FOR PAID ADVERTISERS DEFINITIONS "Publisher" means Taking Off Solutions. "Advertiser" means the entity purchasing advertising services. "Ad Material" means all content provided by Advertiser for publication. SERVICES Publisher shall provide advertising services as specified in the Order Form. PAYMENT AND CANCELLATION 3.1 Advertiser shall pay amounts specified in the Order Form. 3.2 All payments are non-refundable once an ad is posted. 3.3 Cancellations without penalty allowed 14+ days before ad closing date. 3.4 Late payments incur 1.5% monthly fee on outstanding balance. ADVERTISER RESPONSIBILITIES 4.1 Advertiser shall submit Ad Material in required format and quality. 4.2 Advertiser warrants all Ad Material complies with applicable laws and regulations. 4.3 Advertiser grants Publisher right to use Advertiser's material and trademarks. PUBLISHER RIGHTS 5.1 Publisher may reject, cancel, or modify any advertisement without liability. 5.2 Optional services (artwork, photography, printing) available for additional fee. 5.3 Publisher not responsible for damage to printed materials after delivery. INTELLECTUAL PROPERTY Advertiser warrants ownership or proper rights for all ad content. INDEMNIFICATION Advertiser shall indemnify Publisher against all claims arising from: (a) Ad content (b) Third-party rights violation (c) Agreement breach (d) False or misleading claims (e) Non-compliance with laws/regulations LIMITATION OF LIABILITY Publisher's liability limited to amount paid for specific advertisement. No liability for consequential damages. DIGITAL ADVERTISING 9.1 Advertiser must maintain updated privacy policy. 9.2 Advertiser must comply with data protection laws. 9.3 Advertiser must disclose use of tracking technologies. TERMINATION Publisher may terminate for breach; Advertiser remains liable for amounts due. GOVERNING LAW AND DISPUTE RESOLUTION This agreement governed by laws of [Jurisdiction]. Disputes resolved by binding arbitration. ACCEPTANCE By placing an advertisement, Advertiser agrees to these Terms and Conditions.
